For venture lenders

Know who just raised, the week it hits EDGAR

Companies are most open to venture debt right after an equity round. RaiseGraph reads every SEC Form D filing daily and turns it into a feed of new raises for venture debt funds, bank startup and innovation banking desks, and revenue-based lenders.

Amounts are what each company reported sold so far on its Form D. Investors on record are firms linked through board seats named in the company's filings; "None linked" means none are on record, not that the round had no investors.

What each record contains

  • Company name, legal name, city and state, SEC industry group
  • Amount sold so far, total offering size, number of investors
  • Filing date and date of first sale, with a link to the SEC filing
  • Equity, debt, options or other securities, as ticked on the filing
  • First raise on record vs follow-on, with the count and total of earlier offerings
  • Venture firms on record through board seats named in the company's filings
  • Paid tier: executive officers, directors and promoters named in the filing

Who it's for

  • Venture debt and growth lending funds sourcing companies right after a priced round.
  • Bank startup, innovation and technology banking teams covering a region or sector.
  • Revenue-based and fintech lenders looking for newly capitalised companies.

Methodology and data lag

Source: SEC Form D notices of exempt offerings (Regulation D), filed by the company itself and public on EDGAR.

A raise is listed on the day it became public: its Form D filing date, or for amended offerings the date of first sale. Annual amendments of older offerings are not new money and are left out.

Amount is the total the company reported sold so far, which can grow on later amendments. Offering size is the total it plans to sell, when it gave one.

Pooled investment funds, real estate, banking, insurance, oil and gas and similar issuers never appear, and names that read as funds, SPVs or acquisition vehicles are left out.

Equity means the filing ticked equity securities; debt means it ticked debt and not equity. SAFEs and convertible notes are filed as debt or as "other" depending on the company, so check the filing. First raise means no earlier Form D offering is on record for the company (the history starts when SEC moved Form D to electronic filing in 2008-2009), so it is a floor, not proof.

Investors on record are venture firms linked to the company through a board seat named on its Form D filings. Named officers are the executive officers, directors and promoters listed in the filing's related-persons section.

Form D is due within 15 days of a company's first sale, so a round can close weeks before it appears here. RaiseGraph reads EDGAR's daily Form D filings and SEC's quarterly Form D data sets; the most recent days can be incomplete.
